Service terms

These terms are being reviewed by legal counsel and may be updated. The version in force is the one linked in your proposal.

These terms apply to every project Gaia Nexus ("we") delivers to a client ("you"). The proposal you accept is part of these terms.

  1. Scope. We deliver only what the accepted proposal lists under "Scope". Anything else, including items under "Out of scope", needs a new quote.
  2. Price and payment. Prices are fixed and paid in full before work starts. Taxes that apply to you are your responsibility.
  3. Delivery. We deliver the source code with a README (installation and usage) by email within the business days stated in the proposal, counted from payment. If we expect a delay, we tell you before the deadline.
  4. Acceptance and fixes. You have 7 days after delivery to report anything that does not match the scope. One round of fixes for those reports is included.
  5. Warranty. For 14 days after delivery we fix defects against the agreed scope at no cost. We do not guarantee business results, third-party service availability, or behavior after you modify the code.
  6. Your responsibilities. You provide the access, credentials and data the project needs, you have the right to use them, and you use the delivered software lawfully and within the terms of the services it connects to.
  7. Ownership. After full payment, you own the code written for your project. Open-source components keep their own licenses. We may reuse general techniques and non-client-specific code.
  8. Confidentiality. We keep your data and business information confidential and use it only to deliver your project.
  9. Personal data. If the project handles personal data, you decide how it is used and we process it only to deliver the project, in line with Peru's Personal Data Protection Law (Law No. 29733) and other laws that apply to you. See our privacy notice.
  10. How we work. We build software with AI-assisted development. Every delivery passes automated tests and a quality review before it is sent.
  11. Refunds. If we cannot deliver the agreed scope, we refund the full amount.
  12. Liability. Our total liability for a project is limited to the amount you paid for it.
  13. Governing law. These terms are governed by the laws of Peru. Disputes go to the courts of Lima, Peru.
